General Business Condition Covering Functions
The following General Business Conditions are effective for the supply of conference rooms, banquet rooms as well as caterings of the Kempinski Hotel Gravenbruch Frankfurt, in the following designated as "Hotel", for the realization of events as well as for all connected deliveries and services to the Client/Orderer, in the following designated as "Client/Orderer". Contradictory conditions of the Client/Orderer do not have any applications.
1. Option dates are binding on both parties. The Hotel reserves the right to rent the rooms on which an option has been taken to other parties after expiry of the option dates.
2. The Client/Orderer and as well the hotel may withdraw from the agreement by giving a written notice until the named dates writting in the contract. Should the order be cancelled after this time, the Hotel will charge the normal room rate plus a surcharge of 50% of the total lost revenue. If a food order has not been replaced yet. the Hotel will assume minimum menu prices and appropriate accompanying beverage prices which will be charged at 50%.
3. The conference sales department must be notified of a change of more than 5% in the number of participants at least 5 working days before the be-ginning of the event. The agreement of the Hotel is required. A reduction on the number of participants with a maximum of 5% is accepted concerning the account. If there is a divergence beyond that, the origin number of participants is taken as basis for minus 5%. In case of a raising the real number of participants will be charged.
4. Decoration material and other objects may not be brought into the Hotel or put up without the Hotel's consent. All decoration material must comply with fire regulations. Objects brought into the Hotel are to be removed within two days after the event has ended; otherwise the Hotel reserves the right to throw them away if no other arrangement has been reached.
5. Eventually replacements of any disposal of packaging material, hazardous waste etc. have to be paid by the Client/Orderer.
6. No liability is assumed for loss or damage to objects brought into the Hotel, unless the damage results from malicious behavior or gross negligence on the part of the Hotel or his vicarious agents.
7. The Client/Orderer is liable for payment of any additional services of which the participants in the functions avail themselves and for replacements of any losses and damages caused by his staff, helpers or participants in the function.
8. If the Hotel has reason to assume that the event threatens to disturb the smooth operation of ots business, security or the reputation of the establishment, and in the case of force majeurs, the Hotel shall have a right to withdraw from the contact without the Client/Orderer being entitled to claim damages.
9. All the Hotel's services may be utilized only for the agreed purpose.
10. Food and beverage may be brought to the function only with the Hotel's prior consent.
11. Changes of prices during 2 months after the conclusion of the contract are impossible. After expiry of this period they are subject to increase which will be stipulated by the Hotel.
12. Invoices are due and payable within 10 days from the date of invoice without discount.
13. Where the Hotel obtains or arranges to have obtained technical and other services from third parties, it acts on behalf and for account of the client. The client is liable for careful treatment of these facilities and their return in due course; the client releases the Hotel from any claims by third parties arising out of the delivery of these facilities.
14. If the party ordering the event is not the Client/Orderer, both shall be held jointly and severally liable.
15. Newspaper advertisements containing invitations to employment interviews or sales events always require prior written approval by the Hotel. If publication to made without such approval and should the Hotel's vital interests be affected thereby, the Hotel shall be entitled to cancel the event. The cost incurred and possible claims for damage shall be borne by the client.
16. At events lasting longer than midnight, the Hotel may make service charges on the basis of individual slips if no other arrangements has been reached.
17. Should individual provisions of the General Business Conditions be inoperative, this shall not effect the operation of the other conditions.
18. These General Business Conditions are subject to the law of the State. The place of performance and sole jurisdiction to Offenbach am Main, providing mat this is legally admissible. The Client/Orderer herewith confirms to have taken note of all pages of this document.
